Zhengzhou Sanquan Foods, a leading domestic quick-frozen enterprise (002216. SZ) announced on June 28, 2013 that it had acquired 100% equity of Longfeng Food and had paid 159 million yuan to the equity holders of Longfeng Food.
Sanquan Foods announced that it has signed a "framework agreement" with (Hong Kong Guofu Development Co., Ltd.) and Heinz (China) Investment Co., Ltd. (hereinafter referred to as the "Heinz parties") on the acquisition of the equity of "each dragon and phoenix entity". It intends to acquire all the equity interests of Shanghai Guofu Longfeng Food Co., Ltd., Zhejiang Longfeng Food Co., Ltd., Chengdu Guofu Longfeng Food Co., Ltd. and Tianjin Guofu Longfeng Food Co., Ltd. (each company hereinafter referred to as each Longfeng Entity) directly or indirectly held by Heinz parties.
The main business of each Longfeng entity is consistent with the main business of Sanquan, and the acquisition will not cause significant adjustments to the company's business. The acquisition is a strong alliance between industries, which will achieve complementary advantages and resource sharing, which is conducive to the company's further enrichment of product structure, multi-brand operation, improvement of market layout, enhancement of market competitiveness and expansion of market share.
