On April 17, 2015, the CEOs of 58.com and Ganji.com issued an open letter to officially confirm the merger. After the merger of Ganji and 58.com, at the capital level, the two will form a new company - 58 Ganji Co., Ltd.
The two companies will maintain the independence of their respective brands, and the website and team will continue to grow and operate independently. The merger will be conducted in a 5:5 share swap, whereby 58.com will acquire a 43.2% stake in Ganji, including 34 million common shares (17 million ADSs) and $412.2 million in cash, on a cash-and-stock basis. In addition, Tencent will subscribe for $400 million worth of 58.com's newly issued shares at a price of US$52 per ADS. The combined company will have a market capitalization of more than $10 billion, ranking seventh among Chinese Internet companies.
